Terms of Service

1. Acceptance of Terms
By accessing or using the services provided by Nanaja Inc. ("Nanaja", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our services. These Terms apply to all users of Nanaja's cloud infrastructure platform, website, and related services.
2. Services
Nanaja provides Canadian-hosted cloud infrastructure services, including compute, storage, networking, and managed services. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.
3. Account Registration
To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to use our services to:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of others
- Distribute malware, spam, or other harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Engage in cryptocurrency mining without prior written approval
- Use our services in a manner that could damage, disable, or impair our infrastructure
5. Data Residency and Sovereignty
All data stored on Nanaja's infrastructure remains within Canada at all times. We do not transfer data outside of Canadian jurisdictions. Our infrastructure is designed to meet Canadian regulatory requirements, including PIPEDA, PHIPA, and provincial privacy legislation.
6. Billing and Payment
You agree to pay all fees associated with your use of our services. Fees are billed in Canadian dollars (CAD) and are due according to the billing cycle associated with your plan. We reserve the right to change pricing with 30 days' notice. Overdue payments may result in service suspension.
7. Service Level Agreement
Nanaja commits to a 99.9% uptime guarantee for core infrastructure services. Scheduled maintenance windows are excluded from uptime calculations. Service credits will be issued for qualifying downtime events as outlined in our SLA documentation.
8. Intellectual Property
You retain all rights to your data and applications hosted on our platform. Nanaja retains all rights to our platform, services, branding, and proprietary technology. Nothing in these Terms transfers ownership of intellectual property between the parties.
9. Limitation of Liability
To the maximum extent permitted by law, Nanaja's total liability for any claims arising from your use of our services is limited to the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
10. Termination
Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your account immediately for violation of these Terms or our Acceptable Use Policy. Upon termination, you may request export of your data within 30 days.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through our platform at least 30 days before they take effect. Continued use of our services after changes constitutes acceptance.
